Article I. Name and Purpose

Section 1. Name

The name of this organization shall be the Zeta Rho Chapter Alumni Association of the Pi Kappa Alpha Fraternity, an unincorporated non-profit association existing under the state laws of Minnesota.

Section 2. Purpose

The purpose of this alumni association shall be:

  1. To cultivate and maintain the high ideals of Pi Kappa Alpha.
  2. To maintain and promote true and lasting friendship amongst the brothers of Pi Kappa Alpha.
  3. To further the interests of Pi Kappa Alpha in the community and the individual lives of its members.
  4. To ably assist undergraduate brothers and the Zeta Rho chapter.
  5. To motivate and foster a spirit of pride, loyalty, inclusion and respect for Pi Kappa Alpha and its rich history.

Article II. Membership

Section 1. Membership

Any member of Pi Kappa Alpha in good and regular standing and who is no longer enrolled as an undergraduate member is eligible for membership in this organization.

Section 2. Dues

The dues for the members of this alumni association shall be $25 per year. Should any member fail to pay his dues prior to the Annual Meeting, he will forfeit his voting rights and may be dropped from the membership roles of this organization.

Section 3. Fiscal Year

The fiscal year of this alumni association shall commence on July 1.

Article III. Officers

The officers of this association shall include the president, the vice-president, the secretary, and the treasurer.

A.    President

The duties of the president include:

  1. Preside at all meetings of the association.
  2. Appoint committee chairman and committee members as necessary.
  3. Perform other duties as they pertain to his office.

B.     Vice President

The duties of the of the vice-president include:

  1. Serve in the absence of the president.
  2. Perform assigned duties by proxy of the president.

C.    Secretary

The duties of the secretary include:

  1. Maintain a roster of all members of the alumni association.
  2. Keep a record of all meetings and events of the alumni association.
  3. Conduct all correspondence of the association with area alumni and the International Fraternity.

D.    Treasurer

The duties of the treasurer include:

  1. Collect dues owed the alumni association.
  2. Take charge of all funds of the association and deposit the same funds to the credit of the alumni association in a bank selected by the association.
  3. Maintain a book of account on all funds received and disbursed during his term of office.
  4. Pay all bills incurred by authority of the alumni association.

Article IV. Meetings and Elections

Section 1. Meetings

  1. The annual meeting of this association shall be held during Founder’s Day Weekend of each year at a place designated by the Executive Committee, giving notice to the membership at least 30 days in advance.
  2. The Executive Committee will make reasonable efforts to provide non-local members the ability to participate in the annual meeting through telephone, web, or other means.
  3. Regular meetings of this alumni association may occur at a time and place designated by the Executive Committee.
  4. Special meetings of this association may be called by the president provided notice of the time and place is given to the membership at least 30 days in advance.

Section 2. Elections

  1. Elections shall be held at the Annual Meeting.
  2. In case of there being more than one nominee for any office, the ballots shall be in writing.
  3. Each officer of the association shall be elected for a term of one year.

Article V. Executive Committee

  1. The executive committee shall consist of the elected officers of the alumni association and shall be presided over by the president. It shall be the only standing committee of the alumni association.
  2. The executive committee shall conduct all business of the alumni association between meetings or events of the association, authorize and account for the expenditure of funds in the alumni association treasury, and do all things necessary and proper for the orderly conduct of the alumni association.
  3. A quorum of the executive committee members shall be required to conduct any voting actions. A quorum shall be defined as 75% of the executive committee members.

Article VI. Amendments

These bylaws may be amended at any annual meeting of the alumni association by a majority of members present, except that no amendment shall be passed by a vote of less than twelve (12) members.

Article VII.  Member Information

Alumni Association member information shall not be released to any person for the purpose of solicitation of any kind other than official business, including fundraising, of the Zeta Rho Alumni Association without the vote of 75% of the Executive Council.

All prior Bylaws and amendments are hereby revoked and shall become null and void immediately upon adoption of these Bylaws.

These Bylaws of the Zeta Rho Alumni Association of the Pi Kappa Alpha Fraternity were approved and adopted on this the 6th day of March, 2010.
